Agreement by Adult
(the “Agreement”)

I, the undersigned, in consideration of being allowed to participate, volunteer, and/or act as a counselor, program assistant, guide, facilitator, trainer, or any staff position whatsoever in (a) one or more regional eSports competitions organized during the year 2020 by one or more of the Institutions (as defined below) (regional eSports competitions organized during the year 2020 by one or more of the Institutions may hereinafter be referred to as the “Regional Games”); (b) if the undersigned qualifies, as a participant from the Regional Games, to participate in one or more national eSports competitions (national eSports competitions between those who qualify as participants from the Regional Games, may hereinafter be referred to as the “National Games”), one or more National Games; and (c) if the undersigned qualifies, as a participant from the National Games, to participate in one or more international eSports competitions (international eSports competitions between those who qualify as participants from the National Games, may hereinafter be referred to as the “International Games”), one or more International Games (the competitions comprising of the Regional Games, the competitions comprising of the National Games, and the competitions comprising of the International Games may hereinafter be collectively referred to as the “Programs” and may individually be referred to as a “Program”) and other good and valuable consideration, on behalf of myself and my heirs, successors, assigns, and any other persons and entities claiming through or under me or any of my heirs, successors, or assigns, agree to the following:
1. I agree that I will observe, follow, and comply with each of the policies, procedures, expectations, rules, regulations, and guidelines of each of the Programs;
2. I agree to observe, follow, and comply with all of the consequences that result against me or anyone else pursuant to the policies, procedures, expectations, rules, regulations, and/or guidelines of each of the Programs;
3. The institutions and organizations of the Ismaili community (including, but not limited to, the Aga Khan Youth & Sports Board for the United States of America, the Aga Khan Youth & Sports Boards for each of the regions within the United States of America, the Aga Khan Social Welfare Board for the United States of America, Social Safety Net, the Aga Khan Social Welfare Boards for each of the regions within the United States of America, His Highness Prince Aga Khan Shia Imami Ismaili Council for the United States of America, its regional/local councils, and other boards and portfolios), His Highness the Aga Khan, the Imamat, and the respective decision-makers, founders, principals, organizers, leaders, members, officers, employees, staff, volunteers (including, but not limited to, those volunteers associated with a Program), representatives, attorneys, and agents of one or more of the institutions or organizations of the Ismaili community, may hereinafter be collectively referred to as the “Institutions”.
4. I hereby irrevocably give my consent to any and all medical or surgical treatment that I may need; provided, however, nothing contained herein shall be deemed an obligation on any person or entity (including without limitation any of the Institutions) to provide any such medical or surgical treatment. I understand and accept that the cost of all medical and surgical treatment shall be paid by me;
5. I, on behalf of myself and my heirs, successors, assigns, and any other persons and entities claiming through or under me, agree to RELEASE, DISCHARGE, EXONERATE, INDEMNIFY, and HOLD HARMLESS each of the Institutions from and against any and all losses, claims, damages, causes of action, liabilities, suits, costs, and expenses of every nature whatsoever, known or unknown, whether based in part or in whole on one or more Institutions’ sole or contributory negligence, one or more Institutions’ sole or contributory gross negligence, one or more Institutions’ strict liability, or otherwise (including, but not limited to, one or more Institutions’ negligence or gross negligence that causes injury or damage jointly and/or concurrently with my negligence or gross negligence, with the negligence or gross negligence of one or more other Institutions, or with the negligence or gross negligence of any other person or entity whatsoever), arising in any manner, directly or indirectly, out of or incidental to any and all acts, omissions, rules, regulations, policies, procedures, expectations, and/or guidelines with regard to, or otherwise in connection with, (i) one or more of the Programs, (ii) travel or transportation which participation, volunteering, and/or acting as a counselor, program assistant, guide, facilitator, trainer, or any staff position whatsoever in one or more of the Programs may involve, (iii) travel or transportation to or from the area in which one or more of the Programs is taking place, (iv) travel or transportation to or from any aspect or component of one or more of the Programs, (v) any of my lodging, food, or accommodations, (vi) any relationship, communication, or contact between me and one or more of the Institutions, (vii) any relationship, communication, or contact between me and any other participant, volunteer, counselor, program assistant, guide, facilitator, trainer, or staff, (viii) internet security in the course of the submission or receipt of any application, content, or material that is part of, or a prerequisite of, one or more of the Programs, or (ix) one or more Institutions’ storage of, attempt to protect, or attempt to keep confidential data submitted by me or anyone else for my benefit;
6. I grant to each of the Institutions and each of their legal representatives, licensees, assigns, and affiliates, the absolute and irrevocable right, permission, consent, and license to take photographs, videos, and sound recordings of me and/or my performance during, or otherwise in connection with, one or more of the Programs, any and all activities connected with one or more of the Programs, and any and all travel associated with one or more of the Programs and/or with any and all activities connected with one or more of the Programs. I also grant to each of the Institutions, and each of their legal representatives, licensees, assigns, and affiliates, the absolute and irrevocable right, permission, consent, and license to use, reuse, publish, republish, distribute, and/or modify these photographs, videos, and sound recordings of me, in whole or in part, individually or in connection with other material, and in any and all media now or hereafter known, and for any purpose whatsoever;
7. I, on behalf of myself and my heirs, successors, assigns, and any other persons and entities claiming through or under me, hereby irrevocably authorize each of the Institutions to inform and involve any other Institution and/or one or more of my family members with regard to any and all violations (of any and all rules, regulations, policies, procedures, expectations, and/or guidelines of one or more of the Programs) that I may be suspected of committing, as well as any and all allegations and/or information in connection therewith. By this authorization, I, on behalf of myself and my heirs, successors, assigns, and any other persons and entities claiming through or under me, hereby forever RELEASE, DISCHARGE, EXONERATE, HOLD HARMLESS, and INDEMNIFY all Institutions from any and all causes of action, liabilities, losses, suits, claims, expenses, damages, and claims, of every nature, including, but not limited to, claims for or related to libel, slander, defamation, invasion of privacy, misuse of information, and any other claims or causes of action, known or unknown, whether based in part or in whole on one or more Institutions’ sole or contributory negligence, one or more Institutions’ sole or contributory gross negligence, one or more Institutions’ strict liability, or otherwise (including, but not limited to, one or more Institutions’ negligence or gross negligence that causes injury or damage jointly and/or concurrently with my negligence or gross negligence, with the negligence or gross negligence of one or more other Institutions, or with the negligence or gross negligence of any other person or entity whatsoever), arising in any manner, directly or indirectly, out of or incidental to any and all acts and/or omissions in connection with informing another Institution and/or one or more of my family members about, and/or involving another Institution and/or one or more of my family members in the reporting and/or investigation of, (a) any and all violations (of any and all rules, regulations, policies, procedures, expectations, and/or guidelines of one or more of the Programs) that I may be suspected of committing, and/or (b) any and all allegations and/or information in connection therewith;
8. I agree that if I am suspected (by one or more of the Institutions) of committing a violation of one or more rules, regulations, policies, procedures, expectations, and/or guidelines of one or more of the Programs, or if I am determined, in the sole and absolute discretion of one or more of the Institutions, to be ill, dead, or physically, emotionally, or mentally unsafe or unstable, (a) I hereby irrevocably authorize the Institutions to inform one or more of my family members all relevant details concerning any alleged violation by me (of one or more rules, regulations, policies, procedures, expectations, and/or guidelines of one or more of the Programs), my illness, my death, my condition, my symptoms, the diagnoses, my medical history, and any and all other facts and/or information that one or more of the Institutions determine in its/their absolute discretion to disclose to the family member(s), (b) one or more of the Institutions may, at its/their sole and absolute discretion, require and/or arrange for my transportation and travel to return home (even to another city, state, or country) prior to my intended date/time to return home, and (c) I will be responsible and liable to pay, or reimburse one or more of the Institutions, for all transportation and other travel costs associated with my return home (even to another city, state, or country) prior to my intended date/time to return home. Notwithstanding anything to the contrary in this Agreement or in any material or information provided by or on behalf of any of the Institutions, none of the Institutions shall have any duty, responsibility, or obligation to probe, inquire, determine, monitor, supervise, check, or verify whether I am, or another person is, ill, dead, or physically, emotionally, or mentally unsafe or unstable;
9. I hereby irrevocably consent to and authorize any of the Institutions and its representatives, employees, and agents, and attorneys to obtain a background report, which may include, but not be limited to, information as to my criminal history, court records, motor vehicle driving record, and social security information. I also irrevocably authorize and request every person, firm, company, corporation, governmental agency, court, law enforcement office, and any other entity having control or possession of any information pertaining to me or my background furnish same to any requesting party. In the event that information from the report is utilized in whole or in part in making an adverse decision, I will be provided with a copy of the consumer report and a description in writing of my rights under the Fair Credit Reporting Act. By this authorization for release of information and for the procurement of a background report, I hereby forever release, discharge, exonerate, hold harmless, and indemnify each of the Institutions and its employees, representatives, agents, and attorneys, and any and all other persons, entities, organizations, and institutions furnishing information to them from any and all liabilities of every nature and kind, including, but not limited to, claims for libel, slander, invasion of privacy, misuse of information, and any other claim or cause of action arising out of the furnishing, inspection, or copying of any documents, files, records, and other information or the investigation made by or on behalf of one or more of the Institutions.
10. In the event that one or more of the Programs is/are cancelled (whether prior to the commencement of the Program(s), during the Program(s), or otherwise) due to any reason that is not based in bad faith, I understand and agree that neither I nor any other payor will be entitled to a refund of any fees, costs, or expenses that will by then have been paid for, or toward, the Program(s). For illustration purposes only, and without in any way limiting the foregoing, examples of reasons for which cancelation of one or more of the Programs may not entitle me nor any other payor to a refund of any fees, costs, or expenses that will by then have been paid for, or toward, the Program(s) are (a) forces beyond the control of one or more of the Institutions (including, without limitation, a strike, work stoppage, accident, act of war or terrorism, civil or military disturbance, nuclear or natural catastrophe, act of God, or interruption, loss, or malfunction of any utilities, of any communications, or of any computer software or hardware services), or (b) the potential threat of an infectious disease or other illness spreading in a manner that may adversely impact, as determined in the sole discretion of one or more of the Institutions, the safety or welfare of any participants, volunteers, counselors, program assistants, guides, facilitators, trainers, or any staff whatsoever of the Program(s);
11. The delay or failure of any or all of the Institutions to insist at any time upon the strict performance of any policy, procedure, rule, regulation, expectation, guideline, covenant or agreement or to exercise any option, right, power, or remedy arising out of this Agreement or otherwise, is not to be construed as a waiver or relinquishment of the policy, procedure, rule, regulation, expectation, guidelines, covenant or agreement, nor of the option, right, power, or remedy belonging to one or more of the Institutions;
12. Any controversy or claim arising out of or relating to one or more of the Programs or this Agreement shall be submitted for, and attempted in good faith to be resolved through, mediation before any legal or arbitral proceedings may be commenced; and
13. This Agreement and the rights and obligations hereunder shall be governed by and construed in accordance with the laws of Texas, without regard to choice of law and conflicts of law principles; and
14. The provisions (whether in the form of consents, authorizations, releases, agreements, or otherwise) of this Agreement should be construed to the greatest extent allowed by law. In the event that any of the provisions of this Agreement, or the application hereof to any individual or circumstance, is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any respect under present or future laws, this Agreement shall be fully severable from the invalid, illegal, or unenforceable provisions and this Agreement shall then be construed and enforced as if the invalid, illegal, or unenforceable provisions had not been contained in this Agreement; and in such event, the remaining provisions of this Agreement shall remain in full force and effect and shall not be affected by the illegal, invalid, or unenforceable provisions or by their severance from this Agreement. Furthermore, in lieu of any illegal, invalid, or unenforceable provisions, there shall be added automatically as part of this Agreement provisions that are legal, valid, and enforceable but as similar in terms to such illegal, invalid, or unenforceable provisions as may be possible.

I, the undersigned, am a parent or legal guardian of the child whose name is printed at the bottom of this Agreement (the child whose name is printed at the bottom of this Agreement may hereinafter be referred to as the “Minor”). In consideration of the Minor being allowed to participate, volunteer, and/or act as a counselor, program assistant, guide, facilitator, trainer, or any staff position whatsoever in (a) one or more regional eSports competitions organized during the year 2020 by one or more of the Institutions (as defined below) (regional eSports competitions organized during the year 2020 by one or more of the Institutions may hereinafter be referred to as the “Regional Games”); (b) if the Minor qualifies, as a participant from the Regional Games, to participate in one or more national eSports competitions (national eSports competitions between those who qualify as participants from the Regional Games, may hereinafter be referred to as the “National Games”), one or more National Games; and (c) if the Minor qualifies, as a participant from the National Games, to participate in one or more international eSports competitions (international eSports competitions between those who qualify as participants from the National Games, may hereinafter be referred to as the “International Games”), one or more International Games (the competitions comprising of the Regional Games, the competitions comprising of the National Games, and the competitions comprising of the International Games may hereinafter be collectively referred to as the “Programs” and may individually be referred to as a “Program”) and other good and valuable consideration, I agree on behalf of the Minor, myself, the Minor’s heirs, successors, and assigns, and any other persons and entities claiming through or under the Minor or myself, as follows:

I, on behalf of the Minor, myself, and the Minor’s heirs, successors, assigns, and any other persons and entities claiming through or under the Minor or myself, agree to RELEASE, DISCHARGE, EXONERATE, INDEMNIFY, and HOLD HARMLESS each of the Institutions from and against any and all losses, claims, damages, causes of action, liabilities, suits, costs, and expenses of every nature whatsoever, known or unknown, whether based in part or in whole on one or more Institutions’ sole or contributory negligence, one or more Institutions’ sole or contributory gross negligence, one or more Institutions’ strict liability, or otherwise (including, but not limited to, one or more Institutions’ negligence or gross negligence that causes injury or damage jointly and/or concurrently with my, the Minor’s, and/or any other person’s or entity’s negligence or gross negligence, with the negligence or gross negligence of one or more other Institutions), arising in any manner, directly or indirectly, out of or incidental to any and all acts, omissions, rules, regulations, policies, procedures, expectations, and/or guidelines with regard to, or otherwise in connection with, (i) one or more of the Programs, (ii) travel or transportation which participation, volunteering, and/or acting as a counselor, program assistant, guide, facilitator, trainer, or any staff position whatsoever in one or more of the Programs may involve, (iii) travel or transportation to or from the area in which one or more of the Programs is taking place, (iv) travel or transportation to or from any aspect or component of one or more of the Programs, (v) any of the Minor’s lodging, food, or accommodations at, or on the way to or from, one or more of the Programs, (vi) any relationship, communication, or contact between the Minor and any other participant or attendee, (vii) any relationship, communication, or contact between the Minor and any counselor, program assistant, guide, facilitator, trainer, or staff, (viii) internet security in the course of submission or receipt of any application, content, or material that is part of, or a prerequisite of, one or more of the Programs, or (ix) one or more Institutions’ storage of, attempt to protect, or attempt to keep confidential data submitted by me or anyone else for the Minor’s benefit;
6. I, on behalf of the Minor and myself, grant to each of the Institutions and each of their legal representatives, licensees, assigns, and affiliates, the absolute and irrevocable right, permission, consent, and license to take photographs, videos, and sound recordings of me and/or the Minor during, or otherwise in connection with, one or more of the Programs, any and all activities connected with one or more of the Programs, and any and all travel associated with one or more of the Programs and/or with any and all activities connected with one or more of the Programs. I, on behalf of the Minor and myself, also grant to each of the Institutions, and each of their legal representatives, licensees, assigns, and affiliates, the absolute and irrevocable right, permission, consent, and license to use, reuse, publish, republish, distribute, and/or modify these photographs, videos, and sound recordings of me and/or the Minor, in whole or in part, individually or in connection with other material, and in any and all media now or hereafter known, and for any purpose whatsoever;
7. 8. I, on behalf of the Minor and myself, agree that if the Minor is suspected (by one or more of the Institutions) of committing a violation of one or more rules, regulations, policies, procedures, expectations, and/or guidelines of one or more of the Programs, or if the Minor is determined, in the sole and absolute discretion of one or more of the Institutions, to be ill, dead, or physically, emotionally, or mentally unsafe or unstable, (a) I, on behalf of the Minor and myself, hereby irrevocably authorize the Institutions to inform one or more of the Minor’s family members all relevant details concerning any alleged violation by the Minor (of one or more rules, regulations, policies, procedures, expectations, and/or guidelines of one or more of the Programs), the Minor’s illness, the Minor’s death, the Minor’s condition, the Minor’s symptoms, the diagnoses, the Minor’s medical history, and any and all other facts and/or information that one or more of the Institutions determine in its/their absolute discretion to disclose to the Minor’s family member(s), (b) one or more of the Institutions may, at its/their sole and absolute discretion, require and/or arrange for the Minor’s transportation and travel to return home (even to another city, state, or country) prior to the Minor’s intended date/time to return home, and (c) I will be responsible and liable to pay, or reimburse one or more of the Institutions, for all transportation and other travel costs associated with the Minor’s return home (even to another city, state, or country) prior to the Minor’s intended date/time to return home. Notwithstanding anything to the contrary in this Agreement or in any material or information provided by or on behalf of any of the Institutions, none of the Institutions shall have any duty, responsibility, or obligation to probe, inquire, determine, monitor, supervise, check, or verify whether the Minor, or another person is, ill, dead, or physically, emotionally, or mentally unsafe or unstable;
9. 12. This Agreement and the rights and obligations hereunder shall be governed by and construed in accordance with the laws of Texas, without regard to choice of law and conflicts of law principles; and
13. The provisions (whether in the form of consents, authorizations, releases, agreements, or otherwise) of this Agreement should be construed to the greatest extent allowed by law. In the event that any of the provisions of this Agreement, or the application hereof to any individual or circumstance, is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any respect under present or future laws, this Agreement shall be fully severable from the invalid, illegal, or unenforceable provisions and this Agreement shall then be construed and enforced as if the invalid, illegal, or unenforceable provisions had not been contained in this Agreement; and in such event, the remaining provisions of this Agreement shall remain in full force and effect and shall not be affected by the illegal, invalid, or unenforceable provisions or by their severance from this Agreement. Furthermore, in lieu of any illegal, invalid, or unenforceable provisions, there shall be added automatically as part of this Agreement provisions that are legal, valid, and enforceable but as similar in terms to such illegal, invalid, or unenforceable provisions as may be possible.
